In short: Most SMEs buy a yearly package covering a named company secretary, statutory registers, resolutions and ACRA annual return filing; two providers we checked start at S$300 and S$328 a year. Check the firm is registered with ACRA as a corporate service provider before you sign.

Corporate secretarial services in Singapore keep a company compliant with the Companies Act and with ACRA, the Accounting and Corporate Regulatory Authority. A provider usually names a qualified person as your company secretary, keeps your statutory registers and minutes, prepares board and shareholder resolutions, and files the annual return and changes with ACRA on your behalf. Most Singapore SMEs buy this as a yearly package, often combined with company incorporation at the start and with accounting and tax filing later.

What corporate secretarial services include

Packages vary a great deal, so compare scope line by line rather than headline price.

Company incorporation

  • Name application and registration through ACRA’s Bizfile
  • Preparing the company constitution, director and secretary consents and the first board resolutions
  • Issuing share certificates and setting up the statutory registers
  • Help with Corppass setup, a company stamp and opening a bank account (often extra)

Ongoing company secretary role

  • A named, locally resident company secretary
  • Maintaining registers of members, directors, secretaries and registrable controllers
  • Reminders for AGM and annual return deadlines
  • Preparing AGM documents or written resolutions in place of an AGM
  • Filing the annual return with ACRA

Event-based work

  • Changes of directors, secretary, registered address, company name or business activity
  • Share transfers, allotments and dividend resolutions
  • Updating the constitution
  • Striking off a company that has stopped trading
  • Registered office address
  • A nominee resident director, for foreign-owned companies without a local director
  • Accounting, bookkeeping and tax filing, which some firms bundle with secretarial work

What it costs in Singapore

From provider pages we checked in October 2026:

  • One provider lists two annual company secretary plans: S$300 a year for an essential plan covering annual return preparation and filing (including the S$60 government fee) and AGM support, and S$600 a year for a plan that adds corporate changes and share management. It lists add-ons separately, such as Corppass registration (S$100) and strike-off (S$400).
  • A second provider lists an essential package from S$328 a year for companies with individual shareholders and ordinary shares only, and a package from S$568 a year that covers corporate shareholders, other share classes and employee share option plan maintenance. It says ad hoc corporate actions are quoted upfront.
  • For incorporation itself, ACRA’s own guide lists a S$300 registration fee, payable in Bizfile. Name reservation is a separate step. Providers charge their own fee on top for preparing and filing the documents.

These are published starting prices, not quotes. The main cost drivers are:

  • Shareholder structure. Corporate shareholders, several share classes or an employee share scheme add work.
  • How often things change. Frequent share issues, director changes or dividends can push you into a higher tier or ad hoc fees.
  • Extras. A registered address, nominee director, Corppass setup and strike-off are often priced separately.
  • Government fees. Check whether ACRA fees are included or passed through.
  • Bundles. Some firms discount secretarial work when you also buy accounting and tax filing.
  • GST. Ask whether quotes include GST.

Singapore rules buyers should know

These are the duties a corporate secretarial provider helps you meet. The company and its directors remain responsible for them.

Appointing a company secretary (ACRA)

ACRA’s guide on appointing directors and a company secretary says a secretary must be appointed within six months of registration, and the position cannot be empty for more than six months. The secretary must be a Singapore citizen, permanent resident or someone who meets the local residency rules, and cannot be the same person as the sole director. ACRA says the director may face a fine of up to S$1,000 otherwise. Every company must also have at least one director who meets the residency rules.

Annual general meeting and annual return (ACRA)

ACRA’s page on annual return deadlines gives the example of a company with a 31 December 2025 financial year end: its AGM is due six months after year end, by 30 June, and the annual return seven months after, by 31 July 2026. Some company types have different deadlines, and private companies that meet the criteria in section 175A of the Companies Act may not need to hold an AGM. Dormant companies still file. ACRA lists late filing penalties of S$300 within three months of the due date and S$600 after that.

Registered corporate service providers (ACRA)

Under the Corporate Service Providers Act 2024, which took effect on 9 June 2025, anyone providing corporate services such as company formation and ACRA filing for others must register with ACRA as a corporate service provider. ACRA says you can use Bizfile’s entity search to check whether a firm is registered. Do this before you sign.

How to choose a corporate secretarial provider

Ask each provider:

  • Are you registered with ACRA as a corporate service provider, and who will be our named company secretary?
  • What exactly does the annual fee cover, and what is charged per event?
  • Are ACRA government fees included or billed separately?
  • How do you track our AGM and annual return deadlines, and who is accountable if one is missed?
  • How do we get copies of our registers, minutes and resolutions, and in what format?
  • What happens to our records and the secretary appointment if we leave, and is there an exit fee?
  • Can you also provide a registered address or nominee director, and on what terms?
  • If we need accounting or tax filing, do you do it in-house or refer it out?

A firm that answers clearly in writing is easier to hold to its promises later.

Red flags

  • The firm cannot be found as a registered corporate service provider in Bizfile
  • A very low first-year price with no written list of what renewal costs
  • No named secretary, or a secretary who does not meet ACRA’s residency rules
  • Vague answers about who files the annual return and when
  • Charges for “compliance” with no breakdown
  • Reluctance to hand over registers and minutes when asked
  • Pressure to sign a multi-year contract before you have seen the engagement letter

Frequently asked questions

How does matching work?

You describe your company: whether it is already incorporated, how many shareholders and directors it has, its financial year end and what you need handled. A concierge then contacts you to confirm the details and, with your consent, introduces you to the number you choose (one to five) of corporate secretarial providers that take on that kind of work. They contact you directly, and you decide whether to go ahead with any of them.

Is it free?

Yes. It is free for businesses requesting a match. Providers pay FYAdvisers to receive introductions. FYAdvisers is not a corporate service provider and does not act as company secretary.

When must a Singapore company appoint a company secretary?

ACRA's guidance says a secretary must be appointed within six months of registration, and the position cannot be left empty for more than six months. The secretary must be locally resident and cannot be the same person as the sole director. ACRA says directors may face a fine of up to S$1,000 otherwise.

How much do corporate secretarial services cost in Singapore?

Two providers we checked in October 2026 list annual company secretary packages from S$300 and S$328 a year, with higher tiers from S$568 and S$600 a year covering more corporate changes or share classes. Add-ons and ad hoc work are usually extra, so ask for an itemised quote.

Can the same provider incorporate my company and act as secretary?

Often, yes. Many providers offer incorporation, a named secretary, a registered address and annual filings together. Check that the firm is registered with ACRA as a corporate service provider before it files anything for you.
